SSM Expired More Than 1 Year? Here's What You Must Do in Malaysia
Have you just discovered that your SSM business registration has lapsed for more than 12 months? Don't panic — but do act fast. The situation is more serious than a standard late renewal, and the steps you need to take are different from what most business owners expect.
This guide covers exactly what happens when your SSM expires beyond one year, what your legal options are, and how to get your business back on track. If your SSM is still within the 12-month window, see our guide on how to renew SSM online.
What Happens When Your SSM Expires?
Your SSM (Suruhanjaya Syarikat Malaysia) business registration carries an expiry date. Renewal can be made for a period of one to five years at a time. If you miss the renewal deadline, you enter a late-renewal window — but that window has a hard 12-month cut-off.
Can You Still Renew SSM If It Has Been Expired More Than 1 Year?
No. A Business Registration Certificate that is expired for more than one year cannot be renewed under any circumstances. You must register as a brand new business. A new Business Registration Number will be issued — your old number is permanently cancelled.
Legal Risk: What Happens If You Keep Operating Without SSM?
Operating a business without a valid SSM registration is a criminal offence under the Registration of Businesses Act 1956. Penalties include a fine of up to RM50,000, imprisonment of up to 2 years, or both.
Beyond criminal penalties, an expired SSM can result in your corporate bank account being frozen, rejection of loan applications, and disqualification from government or private tenders. Learn more about SSM registration requirements in Malaysia.
Step-by-Step: What To Do If Your SSM Is Expired Over 1 Year
Follow these five steps to get your business legally registered again as quickly as possible:
Check Your Current SSM Status
Log in to the SSM EzBiz portal or review your certificate to confirm your exact expiry date. Verify whether your business name has already been taken by another party. You can also check your SSM status via our portal.
Apply for New Business Registration
Submit a fresh business registration application via EzBiz. You may apply using your old business name — SSM will check availability. If available, you can retain the name but will receive a completely new registration number.
Choose Your Business Structure
Re-register as either a Sole Proprietorship (Milikan Tunggal) or Partnership (Perkongsian), depending on your business arrangement. Your new structure does not need to match your previous registration type.
Pay the Government Registration Fee
Standard new registration fees apply. Compound penalties from your previous expired registration do not carry over. Payment is made online via FPX or credit/debit card through the EzBiz portal.
Update All Your Business Records
Once your new SSM certificate is issued, immediately update your bank accounts, supplier agreements, invoices, and any other documents referencing your old registration number. Notify your bank first to prevent account disruption.
